Dissolved, struck off, strike-off listed: what the terms mean
- Dissolved
- The company no longer exists as a legal entity. It cannot trade or enter into contracts, and any assets left in it pass to the State.
- Struck off
- Removed from the register by the CRO, usually for failing to file annual returns, or at the company's own request (voluntary strike-off on Form H15). A struck-off company is dissolved once the notice is published in the CRO Gazette.
- Strike Off Listed
- A warning status: the CRO has started the strike-off process. The company still exists and can stop it by filing what is outstanding. See companies listed for strike-off.
- Liquidation and examinership
- Liquidation (winding up) sells a company's assets to pay its creditors before it is dissolved. Examinership is court protection while a rescue plan is agreed. See companies in liquidation.
- Restoration
- A dissolved company can sometimes be put back on the register: through the CRO within 12 months in some cases, otherwise by court order, generally within 20 years.

Questions
- How do I check if an Irish company is dissolved?
- Search for the company by name or CRO number and read the status on its profile. “Dissolved” means it no longer exists as a legal entity; “Strike Off Listed” means the CRO has started to strike it off. For a time-critical check, confirm the live record on the CRO’s CORE service.
- What is the difference between struck off and dissolved?
- Strike-off is the process: the CRO removes a company from the register, usually for unfiled annual returns, or at the company’s own request. The company is dissolved when the notice of its strike-off is published in the CRO Gazette, and from that date it no longer exists.
- Can a dissolved company be restored?
- Often, yes. Within 12 months of dissolution a company struck off for not filing can usually apply to the CRO for administrative restoration. After that, restoration needs a court order, which is generally only possible within 20 years of dissolution. A restored company keeps its CRO number.
- What happens to a dissolved company’s assets and debts?
- Any assets still in the company pass to the State. The company itself cannot be sued, but a creditor can apply to court to have it restored, and directors’ existing personal liabilities continue.
